Welcome to Vaxi ("Vaxi", "we", "us", or "our"). These Terms & Conditions ("Terms") govern your access to and use of our website at vaxiai.app, the Vaxi website building application, and related services (collectively, the "Service").

By accessing or using the Service, you represent that you are at least 18 years of age and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Service Provisioning

Vaxi generates design layouts and hosts web assets. Registering on our platform does not create a contract for service levels or guarantee continuous uptime. We collect email information to verify credentials and prevent system abuse.

2. User Accounts and Security

To use the Service, you are required to register an account. You agree to provide accurate, complete, and updated information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized breach or use of your credentials.

3. Intellectual Property Rights

• Your Content & Ownership: You retain complete ownership of all media, text, graphics, prompts, and database records you input into our platform, as well as the unique layout design outputs generated specifically for your project. You grant Vaxi a limited, royalty-free license to host, parse, and process your content solely to deliver, optimize, and display your website.
• Platform Property: Vaxi and its licensors retain all rights, title, and interest in and to the Service, including the design systems, source code, underlying generation engine, styles, elements, software platforms, and server configurations.

4. Acceptable Use Policy

You agree not to use the Service, or configure generated websites, to:

• Host, publish, or transmit any content that is illegal, defamatory, threatening, harmful, or infringes on another party's intellectual property.
• Conduct deceptive marketing practices, phishing schemes, spam campaigns, or distribute malware.
• Scrape, reverse-engineer, attempt to extract source algorithms, or disrupt the operation of Vaxi networks.
• Bypass server rate limits or exploit system vulnerabilities.

5. Subscription, Billing, and Renewals

Our paid plans operate on monthly or annual renewal cycles. Subscriptions automatically renew at the end of each period using your registered payment credentials unless cancelled. All transactions are billed in Indian Rupees (INR) or equivalent USD, and are governed by our Refund Policy. Vaxi reserves the right to modify pricing schedules upon 30 days' notice.

6. Service Availability and Modifications

We strive to maintain maximum uptime and deliver optimal loading speeds. However, the Service is provided on an "as-is" and "as-available" basis. We reserve the right to perform scheduled maintenance, update platform components, or modify functional scopes of tiers without liability. We make no warranty that our systems will be entirely error-free or uninterrupted.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Vaxi, its directors, employees, or partners, shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising out of your access to or use of the Service. In no event shall our total aggregate liability exceed the amount paid by you to Vaxi in the twelve (12) months preceding the claim.

8. Indemnification

You agree to defend, indemnify, and hold harmless Vaxi, its officers, and affiliates from and against any claims, losses, liabilities, costs, or damages arising out of your breach of these Terms, your content, or your misuse of the generated websites.

9. Governing Law and Dispute Resolution

These Terms shall be interpreted, construed, and governed by the laws of India, without reference to its conflict of laws principles. Any legal action or dispute arising under these Terms shall be filed exclusively in the courts located in Bangalore, Karnataka.
